TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAGLESCOPE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10.2 Liability Cap

IN NO EVENT SHALL EAGLESCOPE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO EAGLESCOPE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10.3 Essential Purpose

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless EagleScope and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

12. Termination

12.1 Termination by You

You may terminate your account at any time by following the instructions in your account settings or by contacting us at support@eaglescope.ai.

12.2 Termination by EagleScope

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

12.3 Effect of Termination

Upon termination:

• We may delete your account and associated data, subject to our Privacy Policy
• Provisions of these Terms that by their nature should survive will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@eaglescope.ai and attempt to resolve the dispute informally for at least thirty (30) days.

13.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and take place in Massachusetts, United States, unless otherwise agreed.

13.3 Class Action Waiver

YOU AND EAGLESCOPE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

13.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for intellectual property infringement or other urgent matters.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Massachusetts.

15. Changes to Terms
